VAN LIFE™ Subscriber Profile Advertisement Placement Agreement

This Subscriber Profile Advertisement Placement Agreement ("Agreement") is entered into by and between the advertisers ("Advertiser") and VAN LIFE PEERS LLC ("VAN LIFE PEERS"), a technology, media, and telecommunications (TMT) company providing subscription-based non-fungible token (NFT) profile and/or marketplace services through the Van Life Peers platform (www.vanlifepeers.com). By accessing the Van Life Peers platform and submitting subscriber profile advertisement(s), advertisers agree to be bound by the terms and conditions outlined in this Agreement.

Introduction

This Agreement outlines the terms and conditions under which advertisers (e.g., corporate and small business owners) can place subscriber profile advertisement(s) on the Van Life Peers platform. By submitting subscriber profile advertisement(s), the advertiser agrees to comply with the terms set forth in this Agreement.

1. Advertisement Placement and Tiered Pricing

Advertisers can choose from the following tiered pricing options to place their advertisement(s) (e.g., commercials and banner ads) before, during, after, or throughout a subscriber's NFT profile video:

Before Subscriber's Profile Advertisement:

• $3,750 for a 60-second Commercial
• $3,500 for a 30-second Commercial
• $3,250 for a 10-second Commercial

During Subscriber's Profile Advertisement (Picture-in-Picture without audio):

• $2,750 for a 60-second Commercial
• $2,500 for a 30-second Commercial
• $2,250 for a 10-second Commercial

After Subscriber's Profile Advertisement:

• $1,750 for a 60-second Commercial
• $1,500 for a 30-second Commercial
• $1,250 for a 10-second Commercial

Throughout Subscriber's Profile Advertisement (Banner Ad):

• $750 for a 60-second Banner Ad
• $500 for a 30-second Banner Ad
• $250 for a 10-second Banner Ad

2. Submission Process

Advertisers must submit their subscriber profile advertisement selection(s) along with the following details to vanlifepeers@gmail.com:

• Company/Business Name
• Contact Person (First and Last Name)
• Email Address
• Phone Number
• Payment Details (Zelle or Cash App)
• Advertisement Content in MP4 format

3. Payment Terms

Payment must be made in full at the time of submission. Van Life Peers reserves the right to refuse any advertisement that does not meet the platform's content standards or guidelines. Upon submitting advertisement content to Van Life Peers, individuals must submit payment via Cash App or Zelle to the operator(s) of the Van Life Peers platform using the provided payment details.

4. Content Approval

All advertisements are subject to approval by Van Life Peers. If an advertisement is not approved, the advertiser will be notified and may be given the opportunity to revise and resubmit their content.

5. Placement and Visibility

Once approved, the advertisement will be placed according to the selected tier. The advertisement will be displayed in conjunction with the specified subscriber's NFT profile video, if available, ensuring optimal visibility and engagement.

6. Duration and Renewal

The advertisement will run for the duration specified in the selected tier. However, the visibility of any advertisement is linked to the current duration of the selected subscriber's subscription period (e.g., If subscriber A starts their subscription on January 1, and subscriber B starts their subscription on January 3, but an advertiser submits their payment and advertisement on January 2, it is up to the advertiser to notify Van Life Peers which subscriber's profile they would prefer to have their advertisement(s) placed, if available, to maximize their advertisement's duration of visibility because if the subscriber that they choose does not renew their subscription, their profile will eventually become hidden on the Van Life Peers platform, thus rendering the advertiser's advertisement hidden as well.). If the advertiser(s) do not notify Van Life Peers of their preferred profile placement in their email correspondence containing their advertisement content, then their advertisement placement will be assigned to the next available subscriber's profile and Van Life Peers shall not be held liable in any way for the outcome of this occurrence.

7. Compliance and Content Standards

Advertisers must ensure that their content complies with all applicable laws and regulations. Van Life Peers reserves the right to remove any advertisement that violates these standards or is deemed inappropriate.

8. Liability

Van Life Peers is not liable for any losses or damages resulting from the placement or content of advertisements. Advertisers assume all responsibility for their content and its impact.

9. Amendments

Van Life Peers reserves the right to amend this Agreement at any time. Advertisers may be notified of any changes and are responsible for keeping abreast of, and complying with, the updated terms.

10. Termination

Van Life Peers may terminate this Agreement at any time for any reason. Advertisers may be notified. However, advertisers are not entitled to, and will not receive, any refunds upon submitting payment for any advertisement at any time.
