VAN LIFE™ NFT Private Social Club Agreement

This Private Social Club Agreement (hereinafter referred to as the "Agreement") is made and entered into as of the Effective Date ("1/25/2024"), by and between Van Life Peers (the "Company", "Site", "we", "us", or "our") and any individual or entity participating in or engaging with our activities, services, products, or events (hereinafter referred to as the "Participant", "Customer", "Member" or "you").

VAN LIFE™ NFT” means a non-fungible token minted by a smart contract deployed and associated with the contract metadata containing these Terms or such other smart contract(s) as designated by the VAN LIFE™ brand from time to time in its sole discretion, including any replacement, upgrade or successor smart contract(s) that the VAN LIFE™ brand may designate in its sole discretion (the “VAN LIFE™ NFT Smart Contract”). A VAN LIFE™ NFT Smart Contract associates each VAN LIFE™ NFT with a piece of digital art created by the VAN LIFE™ brand, which may be changed from time to time (the “Art”).

1. Membership Eligibility:
(a) To be eligible for membership in the VAN LIFE™ NFT Private Social Club (hereinafter referred to as the "Club"), the individual must possess a VAN LIFE™ NFT in their crypto wallet at the time of application. Limit one application per person.
(b) Membership in the Club is not transferrable and is subject to approval by Van Life Peers (i.e., www.vanlifepeers.com).

2. Club Benefits:
(a) Upon approval of the membership application, the Member shall gain access to exclusive events, experiences, and content organized by Van Life Peers.
(b) The Club may host pleasure, recreation, and other nonprofitable purposes events, including but not limited to pop-ups, theaters, festivities, auctions, tournaments, conventions, and private club gatherings, subject to availability and discretion of Van Life Peers.

3. Membership Fee:
(a) Membership in the Club requires payment of a non-refundable membership fee, the amount of which shall be determined by Van Life Peers. The fee will be clearly communicated to the Member during the application process.
(b) The membership fee may vary depending on the tier of membership offered and the benefits provided.

4. Club Rules and Conduct:
(a) Members agree to comply with all Club rules and policies set forth by Van Life Peers. Failure to adhere to these rules may result in the termination of membership.
(b) Members shall treat other members and staff with respect and courtesy during Club events and gatherings.
(c) Van Life Peers reserves the right to take appropriate action against members who engage in disruptive or inappropriate behavior.

5. Intellectual Property and Confidentiality:
(a) Members acknowledge that the intellectual property owned by DECHIFFER TOUT CE GACHIS LLC, including but not limited to the VAN LIFE™ brand, is protected by trademark and other applicable laws.
(b) Members agree to not reproduce, distribute, modify, or use any VAN LIFE™ intellectual property without prior written consent from DECHIFFER TOUT CE GACHIS LLC.
(c) Any confidential information shared by Van Life Peers with its members shall be kept confidential and not disclosed to third parties.

6. Termination:
(a) Membership in the Club may be terminated by either party with or without cause upon written notice.
(b) In the event of termination, the Member shall forfeit all membership fees, and Van Life Peers shall have no further obligations to the Member.

7. Amendments:
(a) Van Life Peers reserves the right to amend the terms and conditions of this Agreement, including membership fees and benefits, by providing written notice to members.
(b) Continued participation in the Club after receiving such notice shall constitute acceptance of the amended terms.

8. Governing Law:
(a) This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Van Life Peers is registered.
(b) Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the applicable arbitration body.
