VAN LIFE™ NFT Shuttle Service Agreement

This Shuttle Service Agreement ("Agreement") is made and entered into as of the Effective Date ("1/25/2024"), by and between Van Life Peers (the "Company", "Site", "we", "us", or "our") and any individual or entity participating in or engaging with our activities, services, products, or events (hereinafter referred to as the "Participant", "Customer", "Member" or "you") while holding a VAN LIFE™ NFT (defined below) in their crypto wallet, for the purpose of providing transportation services to the Customer. This Agreement incorporates the terms and conditions set forth below.
VAN LIFE™ NFT” means a non-fungible token minted by a smart contract deployed and associated with the contract metadata containing these Terms or such other smart contract(s) as designated by the VAN LIFE™ brand from time to time in its sole discretion, including any replacement, upgrade or successor smart contract(s) that the VAN LIFE™ brand may designate in its sole discretion (the “VAN LIFE™ NFT Smart Contract”). A VAN LIFE™ NFT Smart Contract associates each VAN LIFE™ NFT with a piece of digital art created by the VAN LIFE™ brand, which may be changed from time to time (the “Art”).
1. Shuttle Service Description:
Van Life Peers offers a variety of shuttle services utilizing different vehicles such as the 13-Passenger Sprinter Van, 28-Passenger Mini Bus, and 56-Passenger Coach Bus. These shuttle services are available for transportation to and from the following locations:
1.1. Official VAN LIFE™ cosplay assemblies.
1.2. Parties, experiences, meetings, fundraisers, events, and activities hosted by the VAN LIFE™ brand.
1.3. Affiliated entities of the VAN LIFE™ brand, including specialized purpose centers, world tours, theme parks, pop-ups, foundations, level 01, festivities, conventions, tournaments, level 02, theaters, auctions, and private clubs whenever they are fully operational.
1.4. Non-VAN LIFE™ brand land-based institutions.
1.5. Amenities provided by the VAN LIFE™ brand at residential or commercial properties, including Wi-Fi, restrooms, showers, kitchens, and office spaces.
1.6. Rentals, appointments, and reservations provided by the VAN LIFE™ brand, such as homestays, sports/recreational facilities, services offered by the VAN LIFE™ brand or brands that have forged a strategic alliance with the VAN LIFE™ brand, and table reservations at pre-recorded or live tapings of content produced by the VAN LIFE™ brand.
1.7. Q&A sessions and music performances by musician(s) LIL PASSPORT BROS or VAN LIFE.
1.8. Talent search auditions for entertainment acts to join the musician(s) LIL PASSPORT BROS or VAN LIFE.
2. Ticket Types and Pricing:
2.1. Customers with a VAN LIFE™ NFT in their crypto wallet are eligible to purchase tickets, items and/or tasks for and/or on shuttle services offered through Van Life Peers (i.e., www.vanlifepeers.com) whenever they are fully operational.
2.2. Ticket prices are subject to increase during peak hours, which are defined as 05:00 am-09:00 am and 04:00 pm-08:00 pm, corresponding to rush hour times when traffic congestion and crowding on public transport are at their highest.
2.3. Van Life Peers reserves the right to modify ticket prices and peak hour timings at its discretion.
3. Reservation and Payment:
3.1. Reservations for shuttle services can be made through the Van Life Peers website, mobile application, or authorized booking agents.
3.2. Customers are required to provide accurate information for the reservation, including the desired date, time, pickup location, drop-off location, and ticket type.
3.3. Payment for shuttle services must be made in advance through the designated payment methods accepted by Van Life Peers.
3.4. Van Life Peers reserves the right to cancel or reschedule a reservation due to unforeseen circumstances or operational reasons. In such cases, the Customer will be notified, and alternative arrangements will be offered.
4. Shuttle Service Terms:
4.1. The shuttle services provided by Van Life Peers will operate according to the agreed-upon schedule and route.
4.2. Customers are responsible for arriving at the designated pickup location on time. Van Life Peers shall not be held liable for any delays caused by the Customer's failure to arrive on time.
4.3. Customers are required to comply with all applicable laws, rules, and regulations while utilizing the shuttle services. Any behavior that jeopardizes the safety, comfort, or well-being of others will not be tolerated.
4.4. Van Life Peers reserves the right to refuse service to any Customer who engages in disruptive or inappropriate behavior.
4.5. The Customer shall be responsible for any damages caused to the shuttle vehicles by their own actions or negligence. Repair or replacement costs will be charged to the Customer.
4.6. Van Life Peers shall not be held liable for any loss, damage, or theft of personal belongings during the provision of shuttle services.
5. Amendments and Termination:
5.1. Van Life Peers reserves the right to amend or modify this Agreement at any time. Customers will be notified of any changes in advance.
5.2. Either party may terminate this Agreement by providing written notice to the other party. Termination shall not affect any rights or obligations accrued prior to the termination date.
6. Governing Law and Jurisdiction:
6.1. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Van Life Peers is registered.
6.2. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in the aforementioned jurisdiction.
This Shuttle Service Agreement outlines the terms and conditions governing the transportation services offered by Van Life Peers. By utilizing the shuttle services, the Customer agrees to abide by these terms and conditions.
