VAN LIFE™ NFT Utility Notice

VAN LIFE™ NFT” means a non-fungible token minted by a smart contract deployed and associated with the contract metadata containing these Terms or such other smart contract(s) as designated by the VAN LIFE™ brand from time to time in its sole discretion, including any replacement, upgrade or successor smart contract(s) that the VAN LIFE™ brand may designate in its sole discretion (the “VAN LIFE™ NFT Smart Contract”). A VAN LIFE™ NFT Smart Contract associates each VAN LIFE™ NFT with a piece of digital art created by the VAN LIFE™ brand, which may be changed from time to time (the “Art”).

 

VAN LIFE™ NFT (revocable, reinstated and updated utility)

  • The privilege to utilize a VAN LIFE™ NFT as a collectible token that is verifiable for a digital membership, admission and/or pass card.

Digital Membership Card (Purple Colored NFT/Red Colored NFT)
  • Private Social Club: the privilege to utilize a VAN LIFE™ NFT as a digital membership card to access an upcoming application for a private social club organized for pleasure, recreation, and other similar nonprofitable purposes at a future date (*Limit one application per person).
  • Private Cemetery: the privilege to utilize a VAN LIFE™ NFT as a digital membership card to access an upcoming application for a burial plot at a private cemetery operated exclusively for the benefit of its members who hold such lots for bona fide burial purposes and not for purposes of resale at a future date (*Limit one application per person).
  • Voter Privileges: the privilege to utilize a VAN LIFE™ NFT as a digital membership card to access voting in the VAN LIFE community (*Limit one vote per person).
  • Priority Access: the privilege to utilize a VAN LIFE™ NFT as a digital membership card to access purchasing VAN LIFE™ products and services at any official VAN LIFE™ cosplay assembly.
  • Exclusive Items: the privilege to utilize a VAN LIFE™ NFT as a digital membership card to access purchasing VAN LIFE™ limited time only products at any official VAN LIFE™ cosplay assembly.
  • The Caesar: the privilege to utilize a VAN LIFE™ NFT as a digital membership card to access booking a session of the VAN LIFE™ collectible card game with the Founder of VAN LIFE LLC, VAN LIFE ENTERTAINMENT LLC, VAN LIFE PEERS LLC & DECHIFFER TOUT CE GACHIS LLC in the Mediterranean.
  • Hosted Parties: the privilege to utilize a VAN LIFE™ NFT as a digital membership card to access purchasing tickets for parties that are hosted by the Founder of VAN LIFE LLC, VAN LIFE ENTERTAINMENT LLC, VAN LIFE PEERS LLC & DECHIFFER TOUT CE GACHIS LLC.
  • Hosted Experiences: the privilege to utilize a VAN LIFE™ NFT as a digital membership card to access purchasing tickets for experiences that are hosted by the Founder of VAN LIFE LLC, VAN LIFE ENTERTAINMENT LLC, VAN LIFE PEERS LLC & DECHIFFER TOUT CE GACHIS LLC.
  • PASSPORT BROS™ x VAN LIFE™: the privilege to utilize a VAN LIFE™ NFT as a digital membership card to access an upcoming subscription service for aspiring artists, performers, and content creators to showcase their talents, collaborate on projects, and reach a wider audience.
  • LIL PASSPORT BROS™/VAN LIFE™ Exclusive Access: the privilege to utilize a VAN LIFE™ NFT as a digital membership card to access attending select Q&A sessions for the musician(s) LIL PASSPORT BROS™ or VAN LIFE™.
  • Monetize Real Estate Listings: 1. the privilege to create real estate listings on the Van Life Peers platform and receive payment(s) upon every purchase, if given an invitation by the founder of Van Life Peers. 2. the privilege to utilize a VAN LIFE™ NFT as a digital membership, admission, or pass card, which can later be used as a verification method for the following:
A. Exclusive Property Tours:
•Offer private, guided tours of the property, highlighting unique features and benefits that might not be available during regular open houses.
B. Access to Premium Content:
•Provide access to high-quality virtual tours, 3D models, and detailed floor plans of the property, which can help potential buyers and renters make informed decisions.
C. Priority Viewing and Booking:
•Grant NFT holders early or priority access to property viewings and the ability to book appointments ahead of others.

L. Priority Access to New Listings:
•Give NFT holders early access to new property listings before they are publicly available, increasing their chances of securing desirable properties.
M. Exclusive Community Events:
•Host special events for NFT holders such as property showcases, networking mixers, or real estate investment seminars.
N. Loyalty Programs:
•Create a loyalty program where NFT holders can earn points or rewards for referrals or repeat transactions.
O. Home Improvement and Renovation Discounts:
•Offer partnerships with home improvement stores, contractors, or interior designers to provide discounts or special deals for NFT holders looking to upgrade their properties.
P. Utility Credits or Rebates:
•Provide utility credits or rebates for services such as electricity, water, or internet for a specified period.

R. Access to Vacation Properties: 
•If applicable, offer NFT holders the ability to use or rent vacation properties at a discounted rate.

•Provide benefits such as access to local gyms, wellness centers, or health clubs for NFT holders.
T. Networking Opportunities:
•Facilitate connections with other real estate investors, developers, or professionals through exclusive networking events or online forums.

Digital Admission Card (Purple Colored NFT/White Colored NFT)
  • Exclusive Forums: the privilege to utilize a VAN LIFE™ NFT as a digital admission card to access entering specialized purpose centers, world tours, theme parks, pop-ups, foundations, level 01, festivities, conventions, tournaments, level 02, theatres, auctions and private clubs that are affiliated entities of the VAN LIFE™ brand whenever they are fully operational.
  • Exclusive Entry: the privilege to utilize a VAN LIFE™ NFT as a digital admission card to access entering select affiliated entities of the VAN LIFE™ brand whenever they are fully operational.
  • Exclusive Community: the privilege to utilize a VAN LIFE™ NFT as a digital admission card to access entering any official VAN LIFE™ cosplay assembly if you as the current holder of a VAN LIFE™ NFT are at least or older than the minimum age required to access any particular official VAN LIFE™ cosplay assembly, agree and/or adhere to the Terms, Agreements, Policies and Notices on our Website (https://www.vanlifepeers.com), present your VAN LIFE™ M.A.P. Card (i.e., a physical and/or digital membership, admission and/or pass card [M.A.P. Card] by way of a VAN LIFE™ IVC [investment vehicle collectible] and/or VAN LIFE™ NFT [non-fungible token]) upon request and do not have any part of your revocable, reinstated and updated utility currently revoked by the Founder of VAN LIFE LLC, VAN LIFE ENTERTAINMENT LLC, VAN LIFE PEERS LLC & DECHIFFER TOUT CE GACHIS LLC.
  • Priority Entry: the privilege to utilize a VAN LIFE™ NFT as a digital admission card to access entering select non-VAN LIFE™ land-based institutions, which have an established Business-to-Business relationship with the VAN LIFE™ brand.
  • Seller Privileges: the privilege to utilize a VAN LIFE™ NFT as a digital admission card to access setting up a booth to sell services wherever the VAN LIFE™ brand operates its specialized purpose centers, world tours, theme parks, pop-ups, foundations, level 01, festivities, conventions, tournaments, level 02, theatres, auctions and private clubs if granted permission by the Founder of VAN LIFE LLC, VAN LIFE ENTERTAINMENT LLC, VAN LIFE PEERS LLC & DECHIFFER TOUT CE GACHIS LLC.
  • Shuttle Services: the privilege to utilize a VAN LIFE™ NFT as a digital admission card to access purchasing tickets, items and/or tasks for and/or on shuttle services offered through Van Life Peers whenever they are fully operational.
  • Hosted Meetings: the privilege to utilize a VAN LIFE™ NFT as a digital admission card to access purchasing tickets for meetings that are hosted by the Founder of VAN LIFE LLC, VAN LIFE ENTERTAINMENT LLC, VAN LIFE PEERS LLC & DECHIFFER TOUT CE GACHIS LLC.
  • Hosted Fundraisers: the privilege to utilize a VAN LIFE™ NFT as a digital admission card to access purchasing tickets for fundraisers that are hosted by the Founder of VAN LIFE LLC, VAN LIFE ENTERTAINMENT LLC, VAN LIFE PEERS LLC & DECHIFFER TOUT CE GACHIS LLC.
  • PASSPORT BROS™ x VAN LIFE™: the privilege to utilize a VAN LIFE™ NFT as a digital admission card to access purchasing tickets for themed festivals, conventions, competitions, and exclusive experiences that celebrate the unique aspects of both the Van Life and Passport Bros movements.
  • LIL PASSPORT BROS™/VAN LIFE™ Music Performances: the privilege to utilize a VAN LIFE™ NFT as a digital admission card to access viewing select music performances by musician(s) LIL PASSPORT BROS™ or VAN LIFE™.

Digital Pass Card (Purple Colored NFT/Blue Colored NFT)
  • Value Add: the privilege to utilize a VAN LIFE™ NFT as a digital pass card to access an opportunity to redeem 1 free item per year from a concession stand at any VAN LIFE™ theatre whenever they are fully operational.
  • NFT Vending/Ticket Machines: the privilege to utilize a VAN LIFE™ NFT as a digital pass card to access acquiring free or buyable merchandise from vending machines or ticket machines, which primarily offer VAN LIFE™ products, whenever they are fully operational (*Items are available on a first-come, first-served basis).
  • Priority Casting: the privilege to utilize a VAN LIFE™ NFT as a digital pass card to access participating in select pre-screenings and in-person auditions for VAN LIFE™ film and television projects before casting call notices are officially posted.
  • Exclusive Bookings: the privilege to utilize a VAN LIFE™ NFT as a digital pass card to access booking rentals (e.g., homestays, sports and recreational facilities, vehicles, equipment or clothing), appointments (e.g., schedule an appointment for a service offered by a brand that has forged a strategic alliance with VAN LIFE PEERS LLC) or reservations (e.g., reserve a table for a party of four at a pre-recorded or live taping of content produced by the VAN LIFE™ brand via the token-gated booking portal on our e-commerce website at www.vanlifepeers.com).
  • Priority Communication: the privilege to utilize a VAN LIFE™ NFT as a digital pass card to access private communication from the Founder of VAN LIFE LLC, VAN LIFE ENTERTAINMENT LLC, VAN LIFE PEERS LLC & DECHIFFER TOUT CE GACHIS LLC if VAN LIFE PEERS LLC launches a token-gated booking portal on its e-commerce website (i.e., www.vanlifepeers.com), establishes a faith-based organization (FBO), starts its own record label as an S-Corporation (S-Corp), forms a corporate-sponsored political committee as a separate segregated fund (SSF), registers as a political party and meets ballot access requirements to appear on the election ballots in each state and territory of the United States of America (USA), creates its own cryptocurrency and launches an initial coin offering (ICO) or converts its entity from a limited liability company (LLC) to a C-Corporation (C-Corp) to raise capital from institutional, accredited and/or retail investors via a registered funding portal or licensed broker-dealer with shares, which may be issued in the form of digital tokens recorded on a blockchain.
  • The Aria: the privilege to utilize a VAN LIFE™ NFT as a digital pass card to access booking a 10-minute conversation with the Founder of VAN LIFE LLC, VAN LIFE ENTERTAINMENT LLC, VAN LIFE PEERS LLC & DECHIFFER TOUT CE GACHIS LLC.
  • Hosted Events: the privilege to utilize a VAN LIFE™ NFT as a digital pass card to access purchasing tickets for private events that are hosted by the Founder of VAN LIFE LLC, VAN LIFE ENTERTAINMENT LLC, VAN LIFE PEERS LLC & DECHIFFER TOUT CE GACHIS LLC.
  • Hosted Activities: the privilege to utilize a VAN LIFE™ NFT as a digital pass card to access purchasing tickets for activities that are hosted by the Founder of VAN LIFE LLC, VAN LIFE ENTERTAINMENT LLC, VAN LIFE PEERS LLC & DECHIFFER TOUT CE GACHIS LLC.
  • PASSPORT BROS™ x VAN LIFE™: the privilege to utilize a VAN LIFE™ NFT as a digital pass card to access booking overnight parking (i.e., 10:00pm - 6:00am) and/or amenities (e.g., Wi-Fi, restroom, shower, kitchen, office space) offered by VAN LIFE LLC.
  • LIL PASSPORT BROS™/VAN LIFE™ Competition Series: the privilege to utilize a VAN LIFE™ NFT as a digital pass card to access entering into any competition series that is produced for the musician(s) LIL PASSPORT BROS™ or VAN LIFE™.

VAN LIFE™ NFTs are collectible tokens that can be verified as a digital membership, admission, and/or pass card.
It should be noted that the classification of these NFTs as securities or goods under the Lanham Act is unclear due to a lack of clarity from regulators at the time of token creation.
VAN LIFE™ NFT collections consist of digital M.A.P. Cards (i.e., VAN LIFE™ NFTs), which are digital membership, admission, and/or pass cards based.
All buyers and holders of a VAN LIFE™ NFT are subject to the terms, agreements, policies, and notices on our website (https://www.vanlifepeers.com).
All intellectual property rights, including but not limited to VAN LIFE™ associated content, trademarks, logos, branding, artwork, characters, merchandise, products, services, and any other materials provided by the VAN LIFE™ brand, remain the sole property of DECHIFFER TOUT CE GACHIS LLC. You agree not to reproduce, distribute, modify, or use any VAN LIFE™ intellectual property without prior written consent from DECHIFFER TOUT CE GACHIS LLC.
Upon purchasing a VAN LIFE™ NFT, the terms, agreements, policies, and notices on our website (https://www.vanlifepeers.com) become binding, regardless of whether you choose to read them. Whether you participate in the VAN LIFE™ community or not, you are obligated to adhere to the terms, agreements, policies, and notices on our website. It is your responsibility to read and stay informed about any changes to these terms.
