VAN LIFE™ Paid User Advertisement Revenue Sharing Agreement

1. Introduction
This Paid User Advertisement Revenue Sharing Agreement ("Agreement") is entered into by and between the user ("Subscriber") and VAN LIFE PEERS LLC ("VAN LIFE PEERS"), a technology, media, and telecommunications (TMT) company providing subscription-based non-fungible token (NFT) profile and/or marketplace services through the Van Life Peers platform (www.vanlifepeers.com). By submitting paid advertisements and user-generated content, Subscriber agrees to be bound by the terms and conditions outlined in this Agreement.

2. Subscription-Based NFT Profile and/or Marketplace Services
VAN LIFE PEERS, launched in January 2024, operates as an advertising platform, offering subscribers multiple benefits, including the ability to post advertisements (e.g., $3 posting fee per classified advertisement). This service provides superior promotion compared to social media platforms and classified websites by offering unique features such as:

A. The privilege for each subscriber's advertisement to be used as a digital membership, admission, or pass card and digital collectible card game trading card.

B. The ability for each subscriber's advertisement to potentially be resold for a profit numerous times in perpetuity.

C. The opportunity for each subscriber to potentially to become a strategic partner to participate in securing a billion-dollar valuation for a technology, media and telecommunications (TMT) company.

D. NFT IRL MMORPG (non-fungible token in real life massively multiplayer online role-playing game).

E. 100% creator earnings.

F. 100% paid advertisement revenue.

G. 50% commission affiliate program.

H. 50% social media monetization.

I. $100,000 per real estate listing monetization.

J. $500,000 pay-per-services invitation promotion.

K. Same day payout(s).

L. Free subscription/advertisement via inquiry.

M. Homepage user profiles.

N. Film/Television talent attachment agreements.

O. The chance for each subscriber to turn their paid subscription(s) into gross or net point(s) and redeem their gross or net point(s) if they are cast in a VAN LIFE™ film/television project produced in part by VAN LIFE ENTERTAINMENT LLC.

P. 20-Second to 210-Second Subscriber Profile Commercial, which may be advertised on platforms such as YouTube, Rumble, Twitch, Tango, Tagged, TikTok, IMVU, Facebook, LinkedIn, X (formerly Twitter), Instagram, Threads, Discord, WhatsApp, and/or The Official Passport Bros Site.

Q. Static Merchandise Advertising (Free or Paid).

R. Digital, Mobile, and Static Billboard Advertising (Free or Paid).

S. Custom Web and Streaming TV 30-Second Commercial Advertising (Free or Paid).

T. Press Release Distribution Advertising (Free or Paid).

U. Product Placement Advertising (Paid).

V. Subscriber Profile Advertisement Placement (Paid [see below]).

Before Subscriber's Profile Advertisement:

  • $3,750 for a 60-second Commercial
  • $3,500 for a 30-second Commercial
  • $3,250 for a 10-second Commercial

During Subscriber's Profile Advertisement (Picture-in-Picture without audio):

  • $2,750 for a 60-second Commercial
  • $2,500 for a 30-second Commercial
  • $2,250 for a 10-second Commercial

After Subscriber's Profile Advertisement:

  • $1,750 for a 60-second Commercial
  • $1,500 for a 30-second Commercial
  • $1,250 for a 10-second Commercial

Throughout Subscriber's Profile Advertisement (Banner Ad):

  • $750 for a 60-second Banner Ad
  • $500 for a 30-second Banner Ad
  • $250 for a 10-second Banner Ad

By focusing on these innovative features, Van Life Peers sets itself apart from traditional advertising platforms, offering added value and utility to its subscribers. The platform functions through third-party NFT profiles and/or marketplaces, allowing Subscribers to purchase monthly subscriptions using Peer-to-Peer payment methods. Subscribers can submit paid advertisements or contact information to be posted as NFTs on VAN LIFE PEERS' profiles or marketplaces. The platform functions through NFT profiles and/or marketplaces, allowing users to purchase monthly subscriptions via Peer-to-Peer Payment methods, subsequently sending payments or contact information for paid advertisements.
In the event of subscription cancellation, NFT(s) created for the Subscriber will be listed for sale indefinitely.

3. User-Generated Content Submission and Monetization
Subscribers of the 'COURTYARD' section can submit and potentially monetize user-generated content, adhering to the 'VAN LIFE™ Paid User Advertisement Revenue Sharing Agreement'.

4. Monetization Process
This Agreement enables Subscribers to submit user-generated content for potential monetization. Upon approval, the content is eligible for monetization without additional steps, qualifications, or opt-ins. Subscribers must submit their First and Last Name, Email Address, Phone Number, Zelle or Cash App payment details, and the content in MP4 format via vanlifepeers@gmail.com.

If approved, the content is placed on the Van Life Peers platform in the 'COURTYARD' section. However, revenue generation is contingent upon manual matching with paid user advertisements. Until such matching occurs, the content provider will not receive 100% of ad revenue.

5. Approved User-Generated Content Categories
At present, the Van Life Peers platform approves select user-generated content categories (see below), subject to change without notice at the discretion of the platform operator(s). The attachment size limit for each file is 25MB per email (e.g., an email containing one 25MB file or an email containing multiple 25MB files).

•Mockumentary (i.e., one-minute performance, one-hour analysis, one-day compilation or one-week documentary of any type of audition for a mockumentary that takes place typically, but not exclusively, nearby or inside a vehicle)

•Podcast Show (i.e., one-minute performance, one-hour analysis, one-day compilation or one-week documentary of any type of audition for a podcast show that takes place typically, but not exclusively, nearby or inside a vehicle)

•Modeling Competition, Fashion Show & Beauty Pageant Television Series (i.e., one-minute recap, one-hour analysis, one-day compilation or one-week documentary of any type of modeling competition, fashion show and/or beauty pageant that takes place typically, but not exclusively, nearby or inside a vehicle)

•Political Leaders (i.e., one-minute recap, one-hour analysis, one-day compilation or one-week documentary of a current or former political leader [i.e., Head of State, Head of Government, Head of Entity, Dynastic Family Member, Presidential Candidates] participating in any type of engagement, interview or debate that takes place typically, but not exclusively, nearby or inside a vehicle)

•Member Of The Press (i.e., one-minute recap, one-hour analysis, one-day compilation or one-week documentary of any type of non-American/Business/Entertainment/International/Sports news that takes place typically, but not exclusively, nearby or inside a vehicle)

•American News (i.e., one-minute recap, one-hour analysis, one-day compilation or one-week documentary of any type of American news that takes place typically, but not exclusively, nearby or inside a vehicle)

•Business News (i.e., one-minute recap, one-hour analysis, one-day compilation or one-week documentary of any type of Business news that takes place typically, but not exclusively, nearby or inside a vehicle)

•Entertainment News (i.e., one-minute recap, one-hour analysis, one-day compilation or one-week documentary of any type of Entertainment news that takes place typically, but not exclusively, nearby or inside a vehicle)

•International News (i.e., one-minute recap, one-hour analysis, one-day compilation or one-week documentary of any type of International news that takes place typically, but not exclusively, nearby or inside a vehicle)

•Sports News (i.e., one-minute recap, one-hour analysis, one-day compilation or one-week documentary of any type of Sports news that takes place typically, but not exclusively, nearby or inside a vehicle)

•Adult Entertainment (i.e., one-minute performance, one-hour exhibition, one-day compilation or one-week documentary of any type of legal adult entertainment [e.g., erotic dance at a strip club] that takes place typically, but not exclusively, nearby or inside a vehicle)

•Sports Entertainment (i.e., one-minute performance, one-hour exhibition, one-day compilation or one-week documentary of any type of legal sports entertainment [e.g., professional wrestling at an independent wrestling promotion] that takes place typically, but not exclusively, nearby or inside a vehicle)

•Virtual Reality (i.e., 360-degree/180-degree one-minute performance, one-hour exhibition, one-day compilation or one-week documentary of any type of lifestyle or activity that takes place typically, but not exclusively, nearby or inside a vehicle)

•Comedy Television Series (i.e., one-minute performance, one-hour analysis, one-day compilation or one-week documentary of any type of audition for a comedy television series that takes place typically, but not exclusively, nearby or inside a vehicle)

•Educational Television Series (i.e., one-minute performance, one-hour analysis, one-day compilation or one-week documentary of any type of audition for a educational television series that takes place typically, but not exclusively, nearby or inside a vehicle)

•Reality Television Series (i.e., one-minute performance, one-hour analysis, one-day compilation or one-week documentary of any type of audition for a reality television series that takes place typically, but not exclusively, nearby or inside a vehicle)

•Tattoo Reality Television Series (i.e., one-minute performance, one-hour analysis, one-day compilation or one-week documentary of any type of audition for a tattoo reality television series that takes place typically, but not exclusively, nearby or inside a vehicle)

•Religion Television Series (i.e., one-minute performance, one-hour analysis, one-day compilation or one-week documentary of any type of audition for a religion television series that takes place typically, but not exclusively, nearby or inside a vehicle)

•Animated Show (i.e., one-minute performance, one-hour analysis, one-day compilation or one-week documentary of any type of audition for an animated show that takes place typically, but not exclusively, nearby or inside a vehicle)

•Dating Show (i.e., one-minute recap, one-hour analysis, one-day compilation or one-week documentary of any type of dating and/or courting experience that takes place typically, but not exclusively, nearby or inside a vehicle)

•Game Show (i.e., one-minute performance, one-hour analysis, one-day compilation or one-week documentary of any type of audition for a game show that takes place typically, but not exclusively, nearby or inside a vehicle)

•Talk Show (i.e., one-minute performance, one-hour analysis, one-day compilation or one-week documentary of any type of audition for a talk show that takes place typically, but not exclusively, nearby or inside a vehicle)

•Motion Picture (i.e., one-minute performance, one-hour analysis, one-day compilation or one-week documentary of any type of audition for a motion picture that takes place typically, but not exclusively, nearby or inside a vehicle)

•Television Documentary Series (i.e., one-minute recap, one-hour analysis, one-day compilation or one-week documentary of any type of employment-related, entrepreneur-related and/or fundraising-related activity that takes place typically, but not exclusively, nearby or inside a vehicle)

6. Ownership Rights and Waivers
By submitting user-generated content, the Subscriber relinquishes claims of ownership and control to VAN LIFE PEERS and its operator(s) in perpetuity. This includes VAN LIFE™ NFT marketplaces/profiles/postings/listings, residuals, additional compensation, and profits from ancillary sources. Subscribers agree not to defame, disparage, or sue the Van Life Peers platform or its operator(s) upon submission.

7. Payment, Matches, and Placements
Submission of user-generated content does not guarantee payment, matches with paid user advertisements, or placements on the Van Life Peers platform. Subscribers waive their right to defame, disparage, or sue the platform for non-bestowal of payments, matches, or placements.

8. Agreement Updates and Rejections
VAN LIFE PEERS and its operator(s) reserve the right to update this Agreement and reject any user-generated content submissions at their discretion without notice.

9. Content Restrictions
User-generated content containing trademarked intellectual property or copyrighted material not owned by the Subscriber will not be accepted.

10. Applicability
At present, the 'VAN LIFE™ Paid User Advertisement Revenue Sharing Agreement' only applies to 'Van Life™ Paid Advertisements' and 'Van Life™ User Generated Content', both located in the 'COURTYARD' section. Corporate advertisers are encouraged to inquire directly via vanlifepeers@gmail.com for advertising and/or sponsorship opportunities.

11. Free Advertisements/Subscriptions Promotion
The 'Free Advertisements/Subscriptions' promotion allows Subscribers to recoup the total cost(s) of their paid advertisements/subscriptions over time, reducing marketing expenses. Participants acknowledge the terms outlined in the 'VAN LIFE™ Paid User Advertisement Revenue Sharing Agreement'. Additionally, if the operator(s) of the Van Life Peers platform contact you directly offering a free advertisement/subscription, and you are not currently a subscriber on Van Life Peers, then you will have 24 hours upon receiving this inquiry to claim this offer and get your first 28 days free of charge on Van Life Peers with no commitment to a recurring subscription. 


By agreeing to this Paid User Advertisement Revenue Sharing Agreement, Subscribers acknowledge and consent to the terms and conditions set forth herein.
